Vertical Aerospace Assembles Financing Package of up to 850 Million Dollars

Vertical Aerospace has secured an agreement in principle for a financing package of up to 850 million dollars, providing the company with a strengthened capital runway as it advances toward key certification and manufacturing milestones for the Valo eVTOL program. The package combines newly raised equity with multiple committed capital facilities intended to support development, flight testing, and early production activities.

Funding Supports Certification and Manufacturing Milestones

The company has raised 50 million dollars in new equity and expects to access an additional 30 million dollars in the coming weeks, bringing near term working capital to approximately 160 million dollars. Vertical plans to use this capital to complete piloted transition flight, conduct public demonstrations of its current prototype, advance its hybrid electric demonstrator, expand the Vertical Energy Center, and begin production of the first full scale Valo certification aircraft.

The financing package is structured to provide flexibility as the company progresses toward its planned 2028 certification timeline.

Overview of the Comprehensive Financing Structure

The agreement in principle includes four components designed to give Vertical access to capital across multiple instruments. These include new equity issuance, amendments to existing convertible notes, a preferred equity facility, and an equity line of credit. The structure is intended to allow the company to raise capital in alignment with milestone achievements and market conditions.

The package also includes an extension of existing convertible note maturities from 2028 to 2030, positioning debt obligations after the company’s planned certification and initial deliveries.

Strengthening Vertical’s Path to Certification

Vertical leadership stated that the financing package provides the flexibility needed to execute the company’s strategic plan and maintain momentum across engineering, testing, and manufacturing. The company believes the strengthened balance sheet will allow stakeholders to focus on the technical progress of the Valo aircraft and the broader market potential for electric aviation.

Investors supporting the package emphasized their confidence in the company’s technology, team, and long term strategy.

Agreement in Principle and Next Steps

The parties have agreed on key terms and intend to finalize definitive documentation by mid April. The agreement in principle is nonbinding and remains subject to due diligence and completion of final agreements. Access to the full suite of facilities will depend on execution of those documents and customary conditions.
